General Terms and Conditions – GTCs

1 SCOPE AND VALIDITY

1.1 These general terms and conditions regulate the business relations between the Swiss Resilience Hub (hereinafter SRH) and its customers and are valid for all services and products of SRH. They are part of all offers, order confirmations and appointment reservations. Deviations from these general terms and conditions must be confirmed in writing by SRH to become valid.
1.2. For all SRH training and further education courses and seminars our separate terms and conditions for training and further education apply.
1.3 The Shop-T&C’s apply to the coaching services offered on the website www.swiss-resilience-hub.ch.

2 DUTY OF LOYALTY AND CARE

2.1. SRH undertakes to perform its services with the utmost care.

2.2. SRH points out that coaching is a voluntary, active and self-responsible process and that certain successes cannot be guaranteed. The coach supports the client in particular as a process companion and supporter for decisions and changes. The actual change work is done by the client himself. The client should therefore be prepared and open to deal with himself and his situation.

2.3. SRH and its customers commit themselves mutually to loyalty and openness. Both sides do everything to the best of their knowledge and conscience to make the success of the agreed service possible.

2.4. The client bears sole responsibility for the use and implementation of the coaching results. SRH expressly waives any claims for damages to the extent permitted by law.

2.5. Any shortcomings in the coaching services that are clearly caused by SRH will be corrected at its own expense. This correction includes in particular the repetition of coaching discussions and the correction of reports and statements. Further claims for damages are expressly excluded.

3 OFFER

3.1. SRH attaches great importance to the serious clarification of the client’s needs and accordingly prepares tailor-made offers for workshops, seminars, lectures and other services following a personal preliminary discussion with the client.

3.2. Preliminary discussions that do not lead to an offer are free of charge up to a duration of 30 minutes. These include a preliminary conversation by telephone or in person. SRH will inform the customer verbally or in writing about the pricing of offers.

3.3. The scope of the assignment as well as the detailed objectives are set out in a separate agreement. At the beginning of a process, the Swiss Resilience Hub clarifies the respective expectations of the coaching together with the client. The hourly rates are recorded separately in the agreement.

4 ORDER CONFIRMATION

4.1. An order (for a course, coaching, training, or other assignments) is deemed to have been placed if:
– a written order confirmation or a written date reservation is available,
– a verbal date reservation is available,
– if it is obviously apparent from the circumstances that the client is willing to purchase the relevant service at the scheduled time, or if it is clear to him that SRH has reserved the relevant dates and resources,
– a written offer is available and SRH has begun work with the explicit agreement of the customer.

4.2. In the case of outline quotations or outline order confirmations, the order (for a course, coaching, training, or other assignments) is also deemed to have been placed if the further procedure is detailed in separate plans (e.g. project plans). The dates, non-scheduled working days, or other resources reserved according to such plans, are considered as placed orders.

5 BILLING OF SERVICES AND TERMS OF PAYMENT

5.1. If not expressly agreed otherwise, the services will be charged according to the work actually performed. The latest up-to-date overview of fees and services applies in each case.

5.2. If the working meetings do not take place at the location determined by SRH, SRH will invoice the travel expenses, possible board and lodging costs as well as the travel time. The latest up-to-date overview of fees and services applies in each case.

5.3. Expenses (e.g. room rent, use of special work instruments and other external costs) will be discussed in advance with SRH’s customers and invoiced.

5.4. For assignments over a longer period of time SRH reserves the right to invoice a payment on account of max. 50% of the budgeted total fee or the complete fee for assignments with flat-rate fees.

5.5. As a rule, payment for online coaching, workshops, seminars, lectures and other services of SRH is made in advance. Payment must be received on the account of Swiss Resilience Hub at least 5 days before the start of the assignment. Each client will receive an invoice including a detailed overview, which provides information about the services provided and expenses.

5.6. The clients undertake to pay the invoices within the agreed payment period. Unless expressly agreed otherwise, a payment period of 10 days from the date of the invoice shall apply to our invoices.

5.7. In the event of late payment, SRH reserves the right to charge default interest of 5% p.a. and payment reminder costs of CHF 30 per reminder. All other legal consequences of payment default are also reserved.

5.8. For all services subject to value added tax, SRH also charges the statutory amount of value added tax.

6 CANCELLATION CONDITIONS AND CANCELLATION COSTS

6.1. Coaching sessions: A free cancellation of the coaching session is possible until 24 hours before the appointment, for Monday appointments until Friday 9.00 am, after that the fee is due in full.

6.2. Workshops, seminars, lectures and other services:

  • SRH does not charge any cancellation fees more than 30 days before the start of the order

  • In case of cancellation between 30 and 20 days before the beginning of the contract 50% of the offered amount will be charged

  • In case of cancellation between 20 and 10 days before the beginning of the contract 75% of the offered amount will be charged

  • In case of later cancellation and no-show, 100% of the offered amount is owed

6.3.If SRH is unable to comply with an assignment for reasons over which SRH has no influence (accident or illness of the coach in question, breakdown of means of transport etc.), the client cannot claim damages. In this case SRH undertakes to fulfil the assignment with another coach if possible or (if this is not possible or not desired by the client) to make up for it at the next possible occasion.

7 CONFIDENTIALITY AND DATA PROTECTION

7.1. SRH treats all company and personal data, which it learns in connection with its activities or which it generates through its activities, with absolute confidentiality. It will not pass them on to third parties. SRH only transfers personal data (first name/last name) to third parties if this is necessary within the framework of the contract or if an organisation or an individual expressly authorises SRH to do so.

7.2. SRH treats personal data with the utmost care. If, in the context of an assignment (a coaching, course, seminar, training, or other such services), personal reports are generated about individual members of an organization, SRH considers these individuals to be the only authorized recipients of this information, regardless of who has placed the order for the assignment or who pays for it.

7.3. . Reports or information to other persons, in particular also to other members of the organization and/or superiors, will only be given with the consent of the authorized person.

7.4. A procedure deviating from clause 7.3 is permitted if a different procedure has been agreed in a manner that is evident to all parties involved. If the persons concerned have been notified in advance of the alternative procedure and do not object, it shall be deemed to be accepted.

8 INTELLECTUAL PROPERTY AND COPYRIGHT

8.1. SSRH applies for the fulfilment of its business purposes generally accessible theories and methodologies, either resourced from external sources, or independently developed and elaborated by SRH and adapted to the special customer relations.

8.2. WIf theories and methodologies from external sources are used, this will be acknowledged by way of a quotation or indication of the rightful source, or there will be a corresponding agreement between SRH and the copyright holder.

8.3. SRH claims the copyright on all its own documents, regardless of whether or not a corresponding copyright notice is visible on the documents concerned.

8.4. For the duration of the contractual relationship, SRH grants its clients the non-transferable, non-exclusive right to use and exploit the services and documents provided by SRH in accordance with the contractual documents. Use of its services and documents, whether for commercial or non-commercial purposes, is only permitted with its prior written consent.

9 LIABILITY

The activity of SRH is exclusively a service. Success is therefore not guaranteed. A (success) liability is excluded.

9.2. SRH assumes no liability for accidents and theft during its courses, workshops or other services and events. Insurance is the responsibility of the participants.

9.3. The dispatch or electronic transmission of any data is at the risk of the client.

10 VERSICHERUNGSSCHUTZ

10.1 Der Versicherungsschutz ist grundsätzlich Sache der Teilnehmer. SRH weist auf die Möglichkeit des Abschlusses eines Seminarrücktrittsversicherung hin.

11 GERICHTSSTAND

11.1 Auf die Vertragsverhältnisse mit SRH ist ausschliesslich schweizerisches Recht anwendbar.

11.2 Gerichtsstand für entstehende Rechtsstreitigkeiten ist der Ort des Firmensitzes von Swiss Resilience Hub.
